01. Acceptance of Terms & Master Agreement Precedence
By accessing our website (indiquerrcm.com), scheduling a diagnostic consultation, or logging into any client portal operated by Indiquer RCM LLC, you affirm that you are at least 18 years of age, legally authorized to bind your practice or enterprise, and agree unconditionally to these Terms.
02. Website Usage, Prohibited Actions & Security
Indiquer RCM grants you a limited, revocable, non-exclusive, non-transferable license to access our platform solely for informational and legitimate business evaluation purposes. When utilizing this platform, you agree not to:
- Circumvent, breach, reverse engineer, or probe any security, authentication, or encryption measures guarding our infrastructure.
- Deploy unauthorized scrapers, spiders, robotic crawlers, or automated harvesting scripts (with the sole exception of legitimate search engines and AI indexing bots adhering to our declared
robots.txtandllms.txtdirectives). - Transmit or input corrupted files, viruses, malware, trojans, or malicious scripts into form fields or document upload conduits.
- Upload or submit any unencrypted Protected Health Information (PHI) via general public contact forms or unauthenticated chat widgets.
03. Healthcare Provider & Client Responsibilities
Where Indiquer RCM provides revenue cycle management, claim scrubbing, medical coding, or accounts receivable recovery services, Client maintains vital clinical and administrative responsibilities:
- Clinical Documentation Accuracy: Client and its credentialed clinicians retain sole and ultimate responsibility for the medical necessity, truthfulness, and completeness of medical charts, encounter notes, and diagnostic records provided for coding.
- Timely Transmission: Client shall transmit encounter records, fee tickets, hospital operative notes, and demographic face sheets within agreed turnaround windows to satisfy payer timely filing deadlines.
- Clearinghouse & Payer Credentials: Client shall grant and maintain necessary third-party payer portal logins, EDI enrollments, and Electronic Remittance Advice (ERA) routing authorizations.
- HIPAA Compliance: Client covenants that all data provided to Indiquer RCM has been obtained in full compliance with federal and state patient privacy consents.
04. Service Terms, Invoicing & Performance Metrics
Unless otherwise specified in a formal executed Statement of Work:
- Contingency & Percentage Billing: Professional RCM fees computed as a percentage of collections are calculated on total net collections received across all insurance and patient balance channels.
- Invoicing Cadence: Service invoices are generated on a monthly basis, due and payable within fifteen (15) calendar days from receipt via ACH or approved electronic corporate funds transfer.
- Late Fees: Balances outstanding past thirty (30) days accrue interest at 1.5% per month or the highest statutory rate permitted by Texas law.
- Service Benchmarks: Stated performance figures (e.g., 98.4% first-pass clean claim velocity, 48-hour verification) reflect our historical portfolio averages and operational engineering targets, subject to timely client cooperation and third-party payer clearinghouse uptime.
05. Intellectual Property & Proprietary Algorithms
All materials displayed or embodied in the platform—including but not limited to the Indiquer RCM logo, graphical layouts, interactive widgets, proprietary claim scrubber rules, analytics scorecards, AI segmentation algorithms, text, code, and documentation—are the exclusive intellectual property of INDIQUER RCM LLC and protected by United States and international copyright, trademark, and trade secret laws.
Nothing contained within these Terms transfers any proprietary title, source code, patent rights, or algorithmic methodologies to the Client or any third party. See our Copyright & Intellectual Property Policy for comprehensive terms.
06. Limitations of Liability & Disclaimers
The aggregate liability of Indiquer RCM arising out of or related to these Terms, whether sounding in contract, tort (including negligence), or strict liability, shall under no circumstances exceed the total fees paid by Client to Indiquer RCM during the three (3) months immediately preceding the event giving rise to the claim.
07. Client Indemnification
Client agrees to defend, indemnify, and hold harmless INDIQUER RCM LLC, its affiliates, officers, and employees from and against any claims, losses, liabilities, government penalties, or legal fees arising out of: (a) fraudulent, inaccurate, or fabricated medical records submitted by Client or its practitioners; (b) clinical malpractice or medical negligence assertions; or (c) Client's breach of HIPAA or state patient confidentiality requirements.
08. Governing Law, Jurisdiction & Mandatory Arbitration
These Terms, their interpretation, and any controversy or claim arising out of or relating to them shall be governed by and construed in accordance with the substantive laws of the State of Texas, United States, without giving effect to any principles of conflicts of law.
- Mandatory Arbitration: Any dispute, claim, or controversy shall be resolved exclusively through confidential binding arbitration administered by the American Arbitration Association (AAA) in Dallas, Texas, in accordance with its Commercial Arbitration Rules.
- Class Action Waiver: Both Client and Indiquer RCM mutually waive any right to bring or participate in any dispute on a class-wide, consolidated, or representative basis.
- Severability: If any provision of these Terms is deemed unlawful or unenforceable by an arbitrator, the remaining provisions shall remain fully enforceable and binding.
